By accessing and using the services provided by New Energy Spark ("Company," "we," "our," or "us"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
New Energy Spark provides warehouse rental and storage solutions including:
- Short-term and long-term warehouse space rental
- Distribution center services
- Storage and logistics support
- Security and access control systems
- Related ancillary services
3. Rental Agreements
3.1 Separate Agreements
Specific terms for warehouse rental will be detailed in separate rental agreements. These Terms of Service apply to all customers and supplement individual rental contracts.
3.2 Minimum Terms
Minimum rental periods apply and vary by facility and service type. Details will be provided during the booking process.
3.3 Renewal
Rental agreements may be renewed subject to availability and mutual agreement on terms.
4. Payment Terms
4.1 Fees
Rental fees are due in advance as specified in your rental agreement. Additional charges may apply for extra services.
4.2 Late Payments
Late payment fees may be applied to overdue accounts. Continued non-payment may result in termination of services.
4.3 Security Deposits
Security deposits may be required and will be returned subject to the condition of the premises and compliance with rental terms.
5. Customer Responsibilities
As a customer, you agree to:
- Use the premises only for lawful purposes
- Comply with all applicable laws and regulations
- Maintain appropriate insurance coverage
- Not store prohibited or hazardous materials
- Allow reasonable access for inspections and maintenance
- Report any damage or security concerns immediately
- Vacate the premises in good condition upon termination
6. Prohibited Activities
The following activities are strictly prohibited:
- Storage of illegal, dangerous, or hazardous materials
- Activities that violate local zoning laws
- Subletting without written permission
- Alterations to the premises without consent
- Activities that create excessive noise or disturbance
- Any use that increases insurance risk
7. Company Responsibilities
We will provide:
- Access to rented warehouse space as agreed
- Basic security measures and monitoring
- Maintenance of common areas and facilities
- Reasonable notice for any necessary access
- Compliance with health and safety regulations
8. Limitation of Liability
To the fullest extent permitted by law, New Energy Spark's liability is limited to the rental fees paid. We are not liable for:
- Loss or damage to stored goods
- Business interruption or consequential damages
- Acts of third parties or force majeure events
- Damages exceeding the security deposit amount
9. Insurance Requirements
Customers must maintain comprehensive insurance coverage including:
- General liability insurance
- Property insurance for stored goods
- Coverage amounts as specified in rental agreements
- New Energy Spark as additional insured where required
10. Termination
10.1 By Customer
Customers may terminate with written notice as specified in their rental agreement.
10.2 By Company
We may terminate immediately for breach of terms, non-payment, or illegal activities.
10.3 Effect of Termination
Upon termination, customers must remove all goods and restore the premises to original condition.
11. Force Majeure
Neither party will be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or other force majeure events.
12. Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
13. Modifications
We reserve the right to modify these terms with reasonable notice. Continued use of our services constitutes acceptance of modified terms.
